This agreement is the working contract. Platform-usage rules (account creation, dispute resolution, governing law, arbitration) live in the Terms of Service. Data handling lives in the Privacy Policy. Both are incorporated here by reference.
Parties + scope
This agreement is between Sleek Ride Solutions, LLC(“SleekRide,” “we,” “us”) and the partner shop applying via /apply (“Provider,” “you”). It covers your participation in the SleekRide network: the jobs we route to you, the standards you operate under, and the money that flows between us.
You are an independent business operating on your own behalf. This agreement does not create an employment, agency, partnership, or joint-venture relationship. You set your own schedule, manage your own staff, and own your own business.
Vetting + approval
Joining the network requires passing our vetting gate (per the public spec on /how-it-works):
- Current + valid business license in the jurisdictions where you operate
- General liability insurance + (where applicable) garage keepers coverage
- Sample work review (recent jobs in person or via verified photos)
- Reference checks (we call three real customers)
- Site visit for shop-based services
We reserve the right to decline any application. Approved providers must promptly notify us if any of the above credentials lapses, expires, or materially changes during the term of this agreement.
Service standards
For every job you accept:
- Complete the work to professional industry standards for your service category.
- Use status updates (In progress / Photos uploaded / Ready / Complete) to keep the customer informed in real time.
- Upload before/after photos where the service category warrants (detailing, ceramic, paint correction, upholstery, body work).
- Communicate with the customer through in-app messaging only — never share or solicit personal phone numbers, email, or social media handles.
- Complete the booked work as scoped at booking. Material upsells (additional services, extra-time charges) require explicit customer consent through SleekRide; you may not collect side payments.
- Maintain a customer rating no lower than 4.0 (on a 5-point scale) over a rolling 90-day window. Sustained poor ratings trigger a quality conversation; egregious patterns may result in suspension.
Accepting + declining jobs
- New jobs land in your inbox with a 2-hour accept window (default; configurable).
- Accept = the job is yours and the customer's pickup address unlocks.
- Decline = the job cascades to the next provider in the routing order.
- No-action through the accept window = treated as a decline.
- Declining is fine. A pattern of declines (>50% over a 30-day rolling window) triggers a check-in.
- Once accepted, cancellation by you may incur platform-fee adjustments + a customer-experience review.
Coverage tiers + zips
You choose the zips you cover and the tier per zip (Standard / Priority / Exclusive). Routing follows the published precedence: Exclusive beats Priority beats Standard. Within a tier, routing is round-robin.
- Your designated home zip is included free at the Standard tier.
- Additional Standard zips are billed monthly via Stripe ($1/zip/mo, current testing-phase placeholder).
- Priority + Exclusive subscriptions are month-to-month, billed via Stripe.
- Exclusive coverage is enforced uniquely: at most one provider per (service, zip) at any time. We do not oversell.
- Cancelling a subscription drops the affected zips to Standard at period end (Priority/Exclusive) or removes them entirely (Standard subscriptions on non-home zips).
- Pricing is current platform placeholder per /pricing. Final pricing confirmed before any change to your billing.
Payouts + platform fees
- Customer pays SleekRide up front via Stripe at booking.
- Funds sit in escrow until you complete the job.
- On completion, SleekRide transfers your share to your Stripe Connect account, net of the platform fee.
- Payouts typically land in your bank within 2-3 business days.
- Platform fee (current placeholder): 15% on Standard zips, 10% on Priority + Exclusive zips. The fee % applied to a given booking is the tier of your coverage in the customer's zip at completion time, recorded per-booking for audit.
- You complete Stripe Connect onboarding (KYC, bank account, tax info) directly with Stripe. We see your account ID + payout flags but never your underlying bank or tax data.
- Final pricing is confirmed at onboarding. Any future change to platform fees gets 30 days' advance notice via email.
Disputes + refunds + reversals
- Customer-initiated cancellations before completion: refunded per the customer cancellation policy. No transfer to you yet, so no reversal needed.
- Customer-initiated chargeback or Stripe dispute after completion: SleekRide automatically reverses the corresponding Stripe transfer from your Connect account. We email you with the dispute ID + a link to the Stripe dashboard so you can submit evidence.
- You agree to cooperate in dispute response, including providing photos, timestamps, and a written narrative within 5 business days of our request.
- SleekRide retains discretion to issue goodwill refunds where a customer experience falls short. Goodwill refunds may result in transfer reversals; we'll notify you with the reasoning.
Insurance + liability
- You must maintain general liability insurance with minimums appropriate to your service category (typically $1M per occurrence / $2M aggregate).
- Service categories handling customer vehicles (detailing, ceramic, body work, upholstery, rentals) require garage keepers coverage with minimums to be confirmed at vetting.
- You name Sleek Ride Solutions, LLC as additional insured on your applicable policies.
- Damage to customer vehicles in your care is your liability under your coverage. SleekRide is not your insurer.
- You agree to indemnify, defend, and hold harmless Sleek Ride Solutions, LLC from claims arising from your work, your employees, or your facility.
Customer non-circumvention
Customers acquired through SleekRide bookings are part of the SleekRide ecosystem. For the duration of this agreement and for 12 months after termination:
- You will not solicit SleekRide-acquired customers for direct (off-platform) booking.
- You will not offer discounts in exchange for paying you outside SleekRide.
- You will not provide your direct contact information (phone, email, business card) to a customer at the time of service for the purpose of future direct booking.
- You will not include SleekRide-acquired customer contacts in your shop's marketing list, mailings, or remarketing audiences.
What's allowed: a customer who finds your shop independently (Google search, walk-in, friend referral) is your customer in that channel. The non-circumvention applies only to customers we routed to you.
Materially violating this section can result in immediate termination + a per-violation fee equal to the average booking value over the prior 90 days, multiplied by 12 (representing a year of likely repeat business). Counsel will refine specific dollar mechanics in the final draft.
Marketing + brand use
- The SleekRide name + logo are trademarks of Sleek Ride Solutions, LLC.
- You may state that you are a “SleekRide partner shop” in your own marketing.
- Pro-tier providers may use the “Powered by SleekRide” co-branding asset per the brand guidelines we provide on activation.
- You may not use the SleekRide name or logo in a way that suggests endorsement of services or claims beyond the platform partnership.
- You may not register domain names, social media handles, or trademarks containing “SleekRide” or confusingly similar variants.
Job photos + IP
- Photos you upload during a job remain your work product.
- You grant SleekRide a non-exclusive, royalty-free license to display those photos to the customer (in their booking tracker) and to use de-identified versions for platform improvement.
- Featured-content use of your photos in SleekRide marketing requires your prior written consent (email is fine).
- Aggregated, de-identified booking + usage data belongs to SleekRide.
Taxes + 1099s
- You're responsible for all taxes on payouts you receive — federal, state, local, sales tax where applicable.
- SleekRide issues a Form 1099-K (via Stripe) where required by IRS thresholds. Tax classification (sole prop, LLC, S-corp, etc.) is your declaration to Stripe at onboarding.
- You handle your own quarterly estimated taxes, withholding, and self-employment tax.
Termination + offboarding
- You can leave at any time with 30 days' email notice. Active subscriptions cancel at period end. Bookings already accepted complete normally.
- SleekRide can terminate with 30 days' notice for any reason (or no reason).
- SleekRide can terminate immediately for cause: material breach (fraud, customer harm, lapsed insurance, sustained quality failure), repeat violation of service standards, repeat non-circumvention violation, or insolvency.
- On termination: you stop receiving new bookings, accepted-but-incomplete bookings are reassigned (you receive proportional payout for work completed), final payout settles within 2 weeks, your account moves to read-only.
- Surviving sections after termination: non-circumvention (12 months), indemnification, payout reconciliation, dispute resolution, IP licensing, governing law.
Amendments + survival
We may update this agreement; material changes get 30 days' advance email notice. Continued use of the platform after the effective date means you accept the update. If you don't agree, terminate before the effective date.
If any provision of this agreement is found unenforceable, the remaining provisions stay in effect. Headings are for convenience only.
This agreement, together with the Terms of Service and Privacy Policy, is the entire agreement between you and SleekRide.
